Class of 2010: New Year, New Hope
The decade of the aughts will go down in history as one marked by terrorism, turbulence, uncertainty and fear. But even though the worldwide financial crisis of 2008 cast its shadow over the first few months of 2009, during the second quarter there were signs that the capital markets were starting to recover – albeit slowly.

Biotech financing reflected this situation – and by the end of 2009 the industry had done itself proud. Importantly, investors returned to already-public companies, filling their coffers with money from follow-on stock offerings, debt financings, and other types of placements. Indeed, there were 57 follow-on stock offerings alone, which together raised more than $5.1 billion in new funds. That’s a substantial improvement over 2008, when only 12 follow-on offerings priced the entire year, and even beat out 2007, when 35 follow-ons occurred.

Investors are still largely bypassing biotech and specialty pharma company IPOs. In 2009, only four companies debuted on U.S. markets, while an additional four went public ex-U.S. (including Russia).

How will the markets shape up for 2010? Well, there are widespread hopes that the worst is behind us. In December 2009, four companies filed for IPOs, plumping the queue to 11 young firms focused on going public this year. Is that too optimistic?

Nov. 5, 2010: Ambit Biosciences Corp.: Developing targeted small molecule kinase inhibitor-based drugs for cancer. Lead drug candidate, partnered with Astellas Pharma, is in Phase II trials in acute myeloid leukemia. Aggregate maximum offering price: $86.25M (the number of shares and price range per share have not been set yet). Underwriters: J.P. Sept. 24, 2010: Quark Pharmaceuticals Inc.: Developing RNA interference (RNAi)-based therapies, initially for diseases associated with oxidative stress and ischemic injury. Three product candidates are in clinical development, the most advanced of which is partnered with Pfizer for treating diabetic macular edema. Maximum aggregate offering price: $20M. The stock will be issued on the Tel Aviv Stock Exchange, and the offering price will be determined in an auction process. NOTE: This is the second time that Quark Pharmaceuticals has filed for an IPO. It originally filed on March 30, 2007 and withdrew that prospectus on July 27, 2007.

Sept. 10, 2010: Anacor Pharmaceuticals Inc.: Developing small-molecule drugs derived from a boron chemistry platform. Five compounds are in the clinic, including a topical antifungal for treating onychomycosis and a topical anti-inflammatory PDE-4 inhibitor for treating psoriasis. Maximum aggregate offering price: $86.25M (the number of shares and price range per share have not been set yet). Underwriters: Citi and Deutsche Bank Securities (joint book-running managers); Cowen and Co.; and Wedbush PacGrow Life Sciences. NOTE: This is the second time that Anacor Pharmaceuticals has filed for an IPO. It originally filed on Aug. 31, 2007 and withdrew that prospectus on Dec. 23, 2008.

Sept. 3, 2010: Zogenix Inc.: A specialty pharma company that is developing therapies for central nervous system disorders and pain. The company launched its first commercial product Sumavel DosePro (a needle-free administration of sumatriptan for the acute treatment of migraine and cluster headache) in January 2010. 6M shares at $12-$14 per share. Underwriters: Wells Fargo Securities and Leerink Swann (joint book-running managers); Oppenheimer & Co.; and Stifel Nicolaus Weisel. NOTE: This is the second time that Zogenix has filed for an IPO. It originally filed on March 20, 2008 and withdrew that prospectus on Aug. 1, 2008.

Aug. 17, 2010: Endocyte Inc.: Developing therapies for cancer and inflammatory diseases based on small molecule drug conjugates that actively target receptors that are over-expressed on diseased cells. The company is also developing companion imaging diagnostics for each drug candidate. Lead product is in Phase II clinical trials in ovarian cancer and non-small cell lung cancer. Maximum aggregate offering price: $86.25M (the number of shares and price range per share have not been set yet). Aug. 12, 2010: Cutanea Life Sciences Inc.: A specialty pharma company that has in-licensed three experimental therapies for dermatological conditions. The lead compound omiganan, a cationic peptide with antimicrobial and anti-inflammatory properties, is in Phase II clinical trials for rosacea. Maximum aggregate offering price: $15.0M (the number of shares and price range per share have not been set yet). Underwriters: Brean Murray, Carret & Co. and Rodman & Renshaw.

Aug. 3, 2010: Horizon Pharma Inc.: Specialty pharmaceutical company that is developing drugs for arthritis, pain and inflammatory diseases. HZT-501, a fixed-dose combination of ibuprofen and famotidine, is under FDA review for reducing the risk of developing NSAID-induced upper GI ulcers in patients with mild-to-moderate pain or arthritis. Lodotra, a programmed release formulation of low-dose prednisone, is currently marketed in Europe and the company expects to file an NDA soon. June 18, 2010: ReSearch Pharmaceutical Services Inc.: A global clinical research organization (CRO) that provides clinical development services to the biopharmaceutical industry. Jan. 29, 2010: BG Medicine Inc.: Developing biomarker-based diagnostic tests. Lead product candidate, the BGM Galectin-3 test for heart failure, measures blood levels of galectin-3 , a strong independent predictor of mortality or hospitalization. The company is also developing three other diagnostic tests for cardiovascular disease. Maximum aggregate offering price: $86.25M (the number of shares and price range per share have not been set yet). Oct. 28, 2009: Aldagen Inc.: Clinical-stage company that is developing regenerative cell therapies using adult stem cells. The lead compound is in Phase III clinical trials to improve engraftment following umbilical cord blood transplants for treating inherited metabolic diseases in children. Two other compounds are in the clinic. Maximum aggregate offering price: $80.5M (the number of shares and price range per share have not been set yet). July 24, 2008: AutoGenomics Inc.: Developing an automated microarray-based multiplexing platform that can be used to assess disease signatures in areas of genetic disorders, infectious disease, and cancer. Dec 19 , 2007: Prometheus Laboratories Inc.: A specialty pharma company that is developing combination pharmaceutical and diagnostic products for individualized patient care, with a current focus on gastrointestinal diseases and disorders. It markets a number of drugs, including the glucocorticosteroid Entocort EC for Crohn’s disease, licensed from AstraZeneca. (NASDAQ:GNOM): Developing and commercializing a DNA sequencing platform intended to become the preferred solution for complete human genome sequencing and analysis at an eventual cost of under $1,000 per genome. On Nov. 10, priced 6.0M shares at $9.00 per share for gross proceeds of $54.0M. First-day change: -11%.


Oct. 26, 2010: Pacific Biosciences of California Inc. (NASDAQ:PACB): Developing single molecule, real-time technology for studying the synthesis and regulation of DNA, RNA and protein, with an initial focus on DNA sequencing. On Oct. 26, priced 12.5M shares at $16.00 per share for gross proceeds of $200.0M. Underwriters: J.P. Morgan Securities and Morgan Stanley & Co. Oct. 22, 2010: Aegerion Pharmaceuticals Inc. (NASDAQ:AEGR): A specialty pharma company that is developing small molecule drugs for treating cardiovascular and metabolic disease. Lead compound lomitapide, which is in late-stage clinical trials for treating homozygous familial hypercholesterolemia, is a microsomal triglyceride transfer protein inhibitor. On Oct. 22, priced 5M shares at $9.50 per share for gross proceeds of $47.50M. On Nov. 1, raised an additional $7.1M by selling the full overallotment (0.75M shares). Total gross proceeds: $54.6M. On Oct. 18, priced 5.8M ADSs (American Depositary Shares, where 1 ADS = 18 shares) at $15.00 per ADS. The company sold 3.2M ADSs for gross proceeds to the company of $48.0M. Sept. 27, 2010: Amyris Biotechnologies Inc. (NASDAQ:AMRS): Using an industrial synthetic biology platform to provide alternatives to select petroleum-sourced products used in specialty chemical and transportation fuels (biofuels). The company uses genetically modified microbes, especially yeast, to convert plant-sourced sugars into various target molecules. Its lead product candidate Zelrix is a transdermal patch that delivers sumatriptan for treating migraine. On Aug. 6, priced 5M shares at $10.00 per share for gross proceeds of $50.0M. Postponements And Withdrawals



Nov. 10, 2010: Ikaria Inc.: Conducting clinical studies on Inomax (nitric oxide) for prevention of bronchopulmonary dysplasia related to lung injury in pre-term infants. The company already markets Inomax for hypoxic respiratory failure associated with pulmonary hypertension in term and near-term infants. It is also conducting R&D on several drug candidates, including terlipressin for hepatorenal syndrome type I. On Nov. 10, the company withdrew its proposed IPO of 8M shares at $12-$13 per share. It filed the registration statement May 13, 2010. Underwriters: Goldman, Sachs & Co.
