The Class Of 2009: Waiting For A Rebound
Editor’s note: The decade of the aughts will go down in history as one marked by terrorism, turbulence, uncertainty and fear. But even though the worldwide financial crisis of 2008 cast its shadow over the first few months of 2009, during the second quarter there were signs that the capital markets were starting to recover – albeit slowly.


Biotech financing reflected this situation – and by the end of 2009 the industry had done itself proud. Importantly, investors returned to already-public companies, filling their coffers with money from follow-on stock offerings, debt financings, and other types of placements. Indeed, there were 57 follow-on stock offerings alone, which together raised more than $5.1 billion in new funds. That’s a substantial improvement over 2008, when only 12 follow-on offerings priced the entire year, and even beat out 2007, when 35 follow-ons occurred.

Investors are still largely bypassing biotech and specialty pharma company IPOs. In 2009, only four companies debuted on U.S. markets, while an additional four went public ex-U.S. (including Russia).

As a service to its readers, Signals published this article in January 2009 to track U.S.-based financings for the year. Throughout the year we updated the lists on a continuous basis. We tracked the progress of each IPO and follow-on offering and also kept a log of those offerings that were postponed or withdrawn.

§ Dec. 9, 2009: China Nuokang Bio-Pharmaceutical Inc. (NASDAQ:NKBP): Developing hematologic and cardiovascular therapies. Lead products include Baquting, a hemocoagulase that is derived from the venom of the pit viper; Aiduo, a cardiovascular stress imaging agent; and Aiwen, an anti-arrhythmic agent. On Dec. 9, priced 5M ADSs (1 ADS = 8 shares) at $9.00 per ADS. Of those the company sold 4,526,979 ADSs for gross proceeds of $40.7M. Selling shareholders sold the rest. Underwriters: Jefferies & Co.( sole book-running manager) and Oppenheimer & Co. (co-manager). First-day change: -4%.

§ Oct. 7, 2009: Omeros Corp.: (NASDAQ:OMER): Developing therapies derived from the PharmacoSurgery platform, in which low-dose drug combinations are delivered directly to the surgical site throughout the procedure to preemptively inhibit inflammation and other problems caused by surgical trauma as well as to provide clinical benefits. Four products are in clinical trials. On Oct. 7, priced 6.82M shares at $10.00 per share for gross proceeds of $68.2M. Underwriters: Deutsche Bank Securities (sole book-running manager); Wedbush PacGrow Life Sciences (co-lead manager); Canaccord Adams; Needham & Co.; Chicago Investment Group; and National Securities Corp. First-day change: -13%.

§ Sept. 30, 2009: Talecris Biotherapeutics Holdings Corp.: (NASDAQ:TLCR): The company, a spin-out of Bayer Healthcare’s plasma products business group, is developing plasma-derived protein therapeutics for immune deficiency disorders, alpha-1 antitrypsin deficiency, infectious diseases, hemophilia and severe burns. It already markets numerous products, including Gamunex IGIV, an intravenous immunoglobulin for treating primary immune deficiency and other conditions. On Sept. 30, priced 50.0M shares at $19.00 per share. Of those, the company sold 28,947,368 shares for gross proceeds to the company of $550M. A selling stockholder sold the remaining shares for gross proceeds to the stockholder of $400M. Underwriters: Morgan Stanley; Goldman Sachs & Co.; Citigroup Global Markets; and J.P.Morgan Securities (joint book-running managers); Wells Fargo Securities; Barclays Capital; and UBS Investment Bank. First-day change: +11%.

§ Aug. 10, 2009: Cumberland Pharmaceuticals Inc.: (NASDAQ:CPIX): A specialty pharma company that is developing branded drugs for the hospital acute care and gastroenterology markets. Two products are on the market -- Acetadote for acetaminophen poisoning and Kristalose for chronic and acute constipation -- and a third -- Caldolor for treating pain and fever -- received FDA approval in June 2009. On Aug. 10, priced 5M shares at $17.00 per share for gross proceeds of $85.0M. Postponements And Withdrawals



§ April 8, 2009: Alimera Sciences Inc.: Developing ophthalmic pharmaceuticals, especially for diseases that affect the back of the eye. Lead product candidate Iluvien, an intravitreal insert containing a low dose corticosteroid, is in Phase III clinical trials for diabetic macular edema. On April 8, the company withdrew its proposed $75M IPO. It filed the registration statement July 1, 2008. Underwriters: Credit Suisse (lead); Citi; Cowen and Co.; and Leerink Swann.
