Editor’s note: After a long dry spell, during which financing for biotech companies sank to dangerously low levels, money finally started flowing into the sector in the fall of 2003 – and it continued unabated through most of 2004. The IPO window finally opened – allowing eight companies to make their public debuts in the U.S. market in late 2003.
In 2004, another 30 biotech and specialty pharma firms completed IPOs in the U.S. market and 15 more came public in other areas of the world, including India, Australia and the U.K. As well, 43 companies raised money through follow-on offerings in 2004. Together, the IPOs and follow-on offerings raised a cool $5.6 billion – the biggest haul for public offerings since the glory days of 2000, when IPOs and follow-ons took in $18.4 billion.
As a service to its readers, Signals published this article in early January 2004 to track U.S.-based public financings for the year. Throughout the year we updated the lists on a continuous basis. We tracked the progress of each IPO and follow-on offering and also kept a log of those offerings that were postponed or withdrawn.

§ Dec. 10, 2004: Adeza Biomedical Corp. (NASDAQ:ADZA): Developing diagnostics for women’s reproductive healthcare. Markets several tests, including Fetal Fibronectin Test (to determine the risk of preterm birth) and E-tegrity Test (infertility-related). On Dec. 10, priced 3.75M shares at $16.00 per share for gross proceeds of $60M. On Dec. 21, raised an additional $9M by selling the full overallotment (562,500 shares). Total gross proceeds: $69M. § Nov. 18, 2004: PRA International (NASDAQ:PRAI): Provides clinical research and development services to the pharmaceutical and biotech industries. On Nov. 18, priced 6M shares at $19.00 per share. Of those, the company sold 3.6M shares for gross proceeds of $68.4M and certain stockholders sold 2.4M shares for gross proceeds of $45.6M. Underwriters: Credit Suisse First Boston and Bear, Stearns & Co. (co-leads); William Blair & Co.; and Jefferies & Co. First-day change: +11%.
§ Oct. 15, 2004: CoTherix Inc. (NASDAQ:CTRX): Developing therapies for the treatment of cardiopulmonary and infectious diseases. Lead drug candidate Ventavis, an inhaled prostacyclin analog for treating pulmonary arterial hypertension, is currently marketed in Europe by Schering AG. The company licensed the U.S. rights from Schering and filed an NDA in June 2004. On Oct. 15, priced 5M shares at $6.00 per share for gross proceeds of $30M. Underwriters: CIBC World Markets and Piper Jaffray (co-leads), Needham & Co., and Thomas Weisel Partners. First-day change: +0.1%.
§ Oct. 5, 2004: Theravance Inc. (NASDAQ:THRX): Developing small molecule drugs based on clinically validated targets. Five product candidates resulting from the firm’s collaboration with GlaxoSmithKline on long-acting beta-2 agonists for treating asthma and COPD are in clinical trials. Theravance’s lead product candidates for bacterial infections and overactive bladder are also in the clinic. On Oct. 5, priced 6.15M shares at $16.00 per share for gross proceeds of $98.4M. On Oct. 8, raised an additional $14.8M by selling the full overallotment (922,500 shares). Total gross proceeds: $113.2M. § Aug. 5, 2004: New River Pharmaceuticals Inc. (NASDAQ:NRPH): A specialty pharmaceutical company that is developing improved versions of widely-prescribed amphetamine and opioid analgesic drugs. The most advanced compound, a prodrug of amphetamine, is in Phase I clinical trials. On Aug. 5, priced 4.2M shares at $8.00 per share for gross proceeds of $33.6M. Underwriters: WR Hambrecht + Co. § July 27, 2004: MannKind Corp. (NASDAQ:MNKD): Uses Technosphere formulation technology for formulating drugs for pulmonary delivery, primarily for treating metabolic and immunologic diseases. Lead product, the Technosphere Insulin System, is in late Phase II clinical trials for treating diabetes. On July 27, priced 6.25M shares at $14.00 per share for gross proceeds of $87.5M. On Aug. 28, raised an additional $4.3M by selling 307,100 shares (partial overallotment). Total gross proceeds: $91.8M. § July 23, 2004: Auxilium Pharmaceuticals Inc. (NASDAQ:AUXL): A specialty pharmaceutical company that is developing drugs for treating urologic and sexual health disorders. The firm’s marketed product, Testim, is a topical testosterone gel for treating hypogonadism. On July 23, priced 5.5M shares at $7.50 per share for gross proceeds of $41.3M. Underwriters: Deutsche Bank Securities (lead), Piper Jaffray, and Thomas Weisel Partners. First-day change: -4%.
§ July 21, 2004: Idenix Pharmaceuticals Inc. (NASDAQ:IDIX): Developing nucleoside and nucleoside analogue-based therapeutics for viral diseases, including hepatitis B virus, hepatitis C virus and HIV. Lead drug candidate for HBV is in Phase III trials; two other candidates are in earlier-stage trials. On July 21, priced 5.8M shares at $14 per share. Of those, the company sold 4.6M shares for gross proceeds of $64.4M and certain stockholders sold 1.2M shares for gross proceeds of $16.8M. As well, corporate partner Novartis bought 5.4M shares at the public offering price in a private placement. Underwriters: Goldman, Sachs & Co. and Morgan Stanley (co-leads) and Bear, Stearns & Co. § July 16, 2004: Xenogen Corp. (NASDAQ:XGEN): Developing an in vivo biophotonic imaging system that allows researchers to track and monitor the molecular mechanisms of disease and the impact of drugs on these mechanisms, as they occur, in live animals. On July 16, priced 4.2M shares at $7.00 per share for gross proceeds of $29.4M. Underwriters: Thomas Weisel Partners (lead), CIBC World Markets, and JMP Securities. First-day change: +7%.
§ June 21, 2004: Momenta Pharmaceuticals Inc. (NASDAQ:MNTA): The company specializes in sequencing and engineering complex sugars for the development of improved versions of existing drugs, the development of new drugs and the discovery of new biological processes. The company expects to submit an ANDA on its lead product, M-Enoxaparin, in the next 12 months. On June 21, priced 5.35M shares at $6.50 per share for gross proceeds of $34.8M. On June 28, raised an additional $5.2M by selling the full overallotment (802,500 shares). Total gross proceeds: $40M. § June 21, 2004: Senomyx Inc. § June 15, 2004: Metabasis Therapeutics Inc. (NASDAQ:MBRX): Developing small molecule drugs for treating liver diseases and metabolic diseases linked to pathways in the liver. Lead product candidate, CS-917 for treating Type II diabetes, is in Phase II clinical trials. Two other products are in the clinic for hepatitis B infection and primary liver cancer. Two product candidates are in the clinic, including Veronate, which is expected to enter Phase III clinical trials in the second half of 2004 as a therapy for preventing hospital-associated infections in premature, very low birth weight infants. § May 26, 2004: Critical Therapeutics Inc. (NASDAQ:CRTX): Developing therapies that regulate the inflammatory response associated with asthma and critical care diseases. The company in-licensed the FDA-approved asthma drug Zyflo, as well as additional formulations of the active ingredient zileuton, from Abbott Laboratories. Its internal research programs target the cytokine cascade. On May 26, priced 6M shares at $7.00 per share for gross proceeds of $42M. § April 29, 2004: Cytokinetics Inc. (NASDAQ:CYTK): Developing small molecule drugs that target the cytoskeleton. Lead drug candidate SB-715992, which inhibits cell proliferation and promotes cancer cell death by disrupting the function of kinesin spindle protein, is in Phase II trials in non-small cell lung cancer. On April 29, priced 6.9M shares at $13.00 per share for gross proceeds of $89.7M. On May 4, raised an additional $13.5M by selling the full overallotment (1.035M shares). § April 28, 2004: Barrier Therapeutics Inc. (NASDAQ:BTRX): Spun out of the Johnson & Johnson family of companies in May 2002, Barrier is developing dermatology products. Eight product candidates are in the clinic, with four of them (for seborrheic dermatitis, diaper dermatitis, fungal infections and congenital ichthyosis) in or entering Phase III trials. § April 15, 2004: Immunicon Corp. (NASDAQ:IMMC): Developing and commercializing research and diagnostic products for isolating, labeling, counting and analyzing tumor cells in the blood. On Jan. 29, priced 6.5M shares at $21 per share for gross proceeds of $136.5M. On Feb. 4, raised an additional $20.5M by selling the full overallotment (975,000 shares). Total gross proceeds: $157M. § April 9, 2004: Xcel Pharmaceuticals Inc.: A specialty pharmaceutical company that acquires marketed or late-stage drugs for treating central nervous system disorders. The company has four products on the market. On April 9, the company withdrew its proposed $75M IPO. It filed the registration statement Aug. 22, 2003. Underwriters: SG Cowen Securities (lead), CIBC World Markets, Thomas Weisel Partners and U.S. Bancorp Piper Jaffray. Note: This is the second time the company filed for an IPO. It originally filed on Jan. 7, 2002 and withdrew that prospectus on Jan. 31, 2003.
